These Terms and Conditions ("Terms") govern the use of services provided by Hearthway ("Company", "we", "us", "our") and your access to the website at https://hearthwa.biz. By engaging any Hearthway service or using this website, you agree to be bound by these Terms. Please read them carefully before proceeding.
1. Definitions
- "Agreement" means these Terms and Conditions together with any written scope document issued for a specific service engagement.
- "Service" means any administrative support service provided by Hearthway, including the Process Orientation Briefing, Meeting Preparation Worksheets and Agenda Planning, and the Twelve-Month Coordination Support Plan.
- "User" / "Client" means any individual who uses this website or engages a Hearthway service.
- "We/Us/Our" refers to Hearthway, registered and operating at 52 Jalan Maarof, 59100 Bangsar, Kuala Lumpur, Malaysia.
- "Content" means all text, materials and outputs produced by Hearthway in connection with a service engagement.
2. Acceptance of Terms
By submitting an enquiry form, engaging a service in writing or using this website, you confirm that:
- You are aged 18 or over and have legal capacity to enter into this Agreement.
- You have read and understood these Terms and agree to be bound by them.
- Where you are acting on behalf of another person or household, you have authority to do so and accept these Terms on their behalf.
3. Service Description
Hearthway provides organisational and informational administrative support services for households. All services are non-advisory in nature. Specifically:
- We organise, index and file documents provided by clients.
- We provide general educational information about publicly available administrative processes in Malaysia.
- We prepare meeting materials (question lists, agendas, document packs) to help clients make productive use of their time with independently chosen professionals.
- We coordinate appointment scheduling and maintain administrative calendars.
Services do not include legal advice, financial advice, therapeutic services, professional representation or any regulated activity. Nothing produced by Hearthway constitutes professional advice of any kind.
4. Scope and Delivery
Before any service begins, Hearthway will provide a written scope description confirming what the service includes, what it excludes and the expected delivery timeline. Work commences only after the written scope has been accepted by the client. Changes to scope after commencement must be agreed in writing by both parties. Hearthway will communicate any delay to agreed timelines as soon as it becomes apparent.
5. Client Responsibilities
Clients agree to:
- Provide accurate and complete information and documents required for the service.
- Respond to reasonable requests for clarification within a reasonable timeframe.
- Use materials produced by Hearthway only for the personal household purposes for which they were prepared.
- Not reproduce, distribute or commercially exploit Hearthway outputs without prior written consent.
- Not use any Hearthway service for purposes that are unlawful under Malaysian law.
6. Intellectual Property
All templates, process frameworks, checklists, glossaries and methodologies used by Hearthway in delivering services remain the intellectual property of Hearthway. Clients receive a non-exclusive, personal, non-transferable licence to use the outputs delivered to them for their own household purposes. This licence does not extend to commercial use, resale or redistribution of Hearthway materials.
7. Fees and Payment
All fees are quoted and payable in Malaysian Ringgit (MYR). Current service fees are:
- Process Orientation Briefing: RM 540
- Meeting Preparation Worksheets and Agenda Planning: RM 1,610
- Twelve-Month Coordination Support Plan: RM 4,380 per annum
Payment terms and accepted payment methods will be confirmed in writing at the time of engagement. Fees are due as specified in the scope document. Hearthway reserves the right to pause or suspend service delivery where payment is overdue by more than 14 days.
Cancellation and refunds: Where a client cancels prior to commencement of work, any advance payment will be refunded less any administrative costs incurred. Where work is already in progress, fees for completed portions of the service are non-refundable. Requests for refunds should be submitted in writing to [email protected].
8. Confidentiality
Hearthway treats all client information and documents as confidential. Information shared by a client will not be disclosed to third parties except: (a) where the client has explicitly authorised disclosure (for example, to coordinate with a professional the client has chosen); (b) where required by Malaysian law; or (c) in anonymised form as part of internal service development with no personally identifiable information. This obligation continues after the end of any service engagement.
9. Disclaimers
Hearthway services are informational and organisational in nature. We do not provide legal, financial, therapeutic or any other regulated professional advice. Materials produced by Hearthway are not a substitute for advice from a qualified professional. Clients are responsible for seeking their own independent professional guidance on any matter that requires it.
The website and its content are provided on an "as is" basis. We make no representations regarding the accuracy, completeness or suitability of website content for any particular purpose.
10. Limitation of Liability
To the extent permitted by Malaysian law, Hearthway's total liability to a client in connection with any service engagement shall not exceed the total fees paid by the client for that specific engagement. Hearthway shall not be liable for indirect, consequential or incidental losses, including but not limited to lost profits, reputational harm or the outcome of any professional proceeding. This limitation does not apply to liability arising from fraud or wilful misconduct.
11. Indemnification
Clients agree to indemnify and hold Hearthway harmless from any claims, liabilities, costs or expenses (including reasonable legal fees) arising from: (a) the client's use of Hearthway materials in a manner inconsistent with these Terms; (b) inaccurate or incomplete information provided by the client; or (c) the client's breach of any applicable law.
12. Termination
Either party may terminate a service engagement by providing written notice. Where Hearthway terminates due to a client's material breach of these Terms, fees for work already completed will remain payable. Where a client terminates, the provisions of Section 7 (refund policy) apply. Sections relating to confidentiality, intellectual property, disclaimers and limitation of liability survive termination.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt informal resolution by written communication. If informal resolution is unsuccessful within 30 days, disputes shall be referred to mediation under the rules of the Malaysian Mediation Centre before any court proceedings are commenced. The courts of Malaysia shall have exclusive jurisdiction over any dispute not resolved by mediation.
14. General Provisions
- Entire agreement: These Terms, together with any written scope document, constitute the entire agreement between the parties for the relevant service.
- Severability: If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
- Waiver: Failure to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision.
- Assignment: Clients may not assign their rights under these Terms without Hearthway's prior written consent. Hearthway may assign its rights in connection with a business transfer.
- Notices: Formal notices under these Terms should be sent by email to [email protected] or by post to the address below.
15. Changes to These Terms
Hearthway may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. For active service engagements, material changes will be communicated by email before taking effect. Continued use of our services after any update constitutes acceptance of the revised Terms.
